  • Once the full Agreement is signed, the Agreement shall prevail for legal, payment, warranty, privacy, notice, limitation of liability, and dispute-resolution terms, while the signed BOQ / COF shall prevail only for project-specific scope, quantities, brands, specifications, price, and payment split.
  • No Verbal Promises / Sales Commitments: No oral statement, brochure statement, phone call, WhatsApp message, informal chat, or verbal promise / assurance by any sales, CXP, design, execution, vendor, subcontractor, or other team member shall amend, override, reduce, waive, or supersede this quotation, BOQ / COF, final estimate, sales order, Works Contract / Agreement, or these Terms & Conditions. The Client is expressly advised not to accept or rely upon verbal promises, side commitments, discounts, free items, additions, exclusions, timeline commitments, or special approvals unless the same is recorded in the Contract Documents or approved in writing through official Simplify Home Interiors email by the COO or CEO. All conditions in this document remain binding and intact unless amended through such written approval.
  • Stage-1 Acceptance: Payment of the Booking / Work Commencement amount and/or Client signature on this quotation constitutes acceptance of these Terms & Conditions and authorizes Simplify Home Interiors to commence design and planning. These terms remain binding until the full Works Contract / Agreement and final BOQ / COF are signed; thereafter, the signed Agreement shall prevail for future stages.

  • All-Set-Go Conditions: The execution clock starts only after final drawings / specifications are signed, Design Freeze is completed, all due milestone payments are fully realized and confirmed, site readiness is completed, and access / approvals / logistics support / utilities are available.
  • Extensions: The timeline stands extended for client-caused delay, delayed decisions, delayed approvals, delayed payments, site inaccessibility, society restrictions, lift unavailability, third-party interference, force majeure, supply disruption, price-sensitive item delay, sub orders, and concealed-condition findings.
  • No Absolute Guarantee: Unless expressly guaranteed in writing, the project timeline is a target under normal conditions and not a strict time-is-of-the-essence commitment
  • Delay Limitation: If, and only if, delay is solely and directly attributable to Simplify Home Interiors, excluding all permitted extensions, the Client’s sole remedy shall be limited to a credit of INR 500 per day of such delay, capped at 3% of the total order value, and valid only if written notice of such delay is issued within 2 working days of the relevant delay occurrence.

4A. EXECUTION READINESS, DELIVERY, HANDOVER & SNAG CLOSURE

  • Site Readiness & Keys: The Client shall ensure that site keys, access permissions, gate passes, lift permissions, society / builder permissions, electricity, water, washroom access, and safe working conditions are available from Day 1 of the agreed execution start date. If the site is not ready, inaccessible, unsafe, locked, restricted by society / builder, or occupied by other vendors in a manner that prevents planned work, the delay shall be treated as client-caused delay and the project timeline shall stand extended accordingly.
  • Execution Start Dependency: Execution / installation shall commence only after Design Freeze, execution-ready drawings / specifications, receipt and realization of the required milestone payment, site readiness confirmation, and availability of access / approvals / logistics support. Civil works, onsite works, modular production, and installation may be sequenced in parallel or separately at Simplify Home Interior’s discretion based on technical feasibility and project planning.
  • Shipping, Lift & Manual Movement: Standard delivery / unloading through available service lift or goods lift within normal city limits may be included only if expressly stated or commercially absorbed by Simplify Home Interiors. Charges related to staircase movement, manual lifting, crane / special equipment, long-distance carrying, restricted lift timings, overtime labour, society loading / unloading charges, parking fees, entry fees, permits, or any special movement requirement shall be payable by the Client unless expressly included as a priced BOQ / COF line item.
  • Modular Material Hold Charges: Once modular panels, furniture, or project material are produced / procured and Simplify Home Interiors issues readiness / dispatch / installation notice, the Client shall provide access for delivery and installation within 5 calendar days unless otherwise agreed in writing. If delivery / installation is held due to client-side reasons, pending payments, site unreadiness, society restriction, lack of storage, lift unavailability, third-party vendor delay, or any reason not attributable to Simplify Home Interiors, hold / storage / demurrage charges may apply from the 6th day onward at INR 1,000 per day or actual warehouse / logistics cost, whichever is higher. Risk may also transfer to the Client from the readiness date, subject to applicable law and documented notice.
  • Soft Handover: Simplify Home Interiors may declare Soft Handover when the home or relevant project area is substantially complete and usable / livable for its intended purpose, even if minor snags, touch-ups, replacement panels, minor alignment, non-critical rework, or documentation items remain pending. From Soft Handover, the Client shall not withhold handover, possession, or due payments merely because minor non-critical snags remain open.
  • Full Handover: Full Handover shall mean completion of the agreed scope, closure of recorded snags, handover documentation, and payment clearance, subject to client access, approvals, replacement material availability, third-party readiness, and applicable OEM/vendor lead times.
  • Snag Reporting & Resolution: Snags must be recorded in writing at the time of inspection / handover or within the official snag reporting window communicated by Simplify Home Interiors. Simplify Home Interiors shall target closure of standard snags within 15 working days from confirmed snag list finalization, subject to site access, nature of snag, material availability, vendor lead time, OEM replacement timelines, weather/site conditions, and payment clearance. Replacement panels, imported / special hardware, glass, mirrors, laminates, bought-out items, or vendor-dependent items may require additional time.
  • Cleaning Scope: Basic project-end cleaning, where included, shall be provided once before handover. Deep cleaning, repeated cleaning, cleaning required before pooja / shifting / housewarming, dust generated by client-appointed vendors, post-handover cleaning, and cleaning caused by third-party activity are excluded unless expressly included as priced BOQ / COF line items.
  • Final Coat of Paint: Final coat / repainting / paint touch-up after interiors, correction of scratches, stains, roller marks, wall damage, movement marks, or patch work caused during or after interior execution is excluded unless expressly included as a priced BOQ / COF line item. The Client is advised to schedule the final paint coat after completion of major interior works where applicable

5. DESIGN, MARKETING, PORTFOLIO & INTELLECTUAL PROPERTY

  • Design Stage Commencement: The design stage shall commence only after the Booking / Work Commencement amount is received and realized, and after the Client provides access for site measurement, site photographs, and all basic information reasonably required by Simplify Home Interiors.
  • Design Basis; Quote is Provisional Until Freeze: The initial quotation is prepared based on currently available drawings, discussions, assumptions, indicative site information, and preliminary selections. The final BOQ / COF / Final Estimate may be revised after actual site measurement, design development, material selection, technical coordination, concealed-condition findings, structural limitations, constructability review, custom-vendor inputs, or site feasibility review.
  • Site Measurement Controls: Actual site measurements shall prevail over brochure sizes, renders, hand sketches, prior site information, and indicative layouts. Any design developed before final measurement remains subject to cost revision after site verification. If site conditions differ materially from assumptions, Simplify Home Interiors may modify dimensions, layout, technical detailing, and commercial value accordingly.
  • Design Deliverables by Stage: During the design stage, Simplify Home Interiors may share concept layouts, indicative furniture planning, mood references, basic elevations, and discussion renders. Detailed working drawings, shop drawings, GFC drawings, execution drawings, and technical coordination drawings shall be released only after the required payment level is achieved and only once the design and commercial baseline are frozen
  • Included Revision Rounds: Unless otherwise stated in the BOQ / COF, the design fee includes up to three (3) revision rounds of 3D views / renders until Design Freeze. These revision rounds are intended to refine one approved design direction only and not to create multiple unrelated concepts or repeated redesign from scratch.
  • Design Submission Limits: Unless otherwise agreed in writing, the design process is limited to the development and refinement of one approved design direction only. The limits stated herein do not mean multiple alternative concepts, multiple design themes, or three different design options. Simplify Home Interiors may issue design submissions only for the same approved design direction, including the initial submission. Unless otherwise stated in the BOQ / COF, up to three (3) revision rounds of 3D views / renders are included. Any revision requested beyond the included three (3) revision rounds, any request for additional concept options, parallel design schemes, repeated redesign, or further submissions beyond the permitted limits shall be chargeable at INR 10,000 per revision / submission cycle, plus applicable taxes and any actual third-party cost, and shall proceed only after written approval
  • Chargeable Additional Revisions: Additional revisions beyond the included rounds, redesign due to changed requirements, redesign after prior approval, redesign caused by delayed inputs, or repeated alternate-concept development shall be chargeable and may be billed through a signed Sub Order / Additional Order before the revised work proceeds.
  • Material Selection and Sampling: The design stage includes reasonable coordination for material and finish selection within the agreed scope. Unless otherwise stated, one in-person material / finish selection session is included. Additional vendor visits, repeated sampling rounds, or extended selection exercises requested by the Client may be charged separately and may affect the design timeline. If the Client is unavailable and wishes to authorize any family member, representative, consultant, contractor, or Simplify Home Interior’s design team to review, shortlist, approve, or finalize selections on the Client’s behalf, such authorization shall be valid only if expressly given in writing by email from the Client. Simplify Home Interiors shall be entitled to rely on such written authorization and any selection, approval, or confirmation made pursuant thereto shall be binding on the Client.
  • Client Review and Response Timelines: The Client shall review drawings, specifications, samples, material options, and design submissions within 3 working days of receipt unless otherwise agreed in writing. If the Client delays approvals or feedback, the design timeline and, where relevant, the project timeline shall stand extended accordingly. Simplify Home Interiors may re-sequence activity to avoid idle time.
  • Design Freeze: Design Freeze shall occur only when the Client approves the final layout, drawings, material selections, specifications, and commercial scope in writing. The Client should endeavor to complete Design Freeze within 15 calendar days from the first complete proposal set unless otherwise agreed in writing. No procurement shall be treated as locked until Design Freeze is complete and the required milestone payment is received.
  • Post-Freeze Changes: After Design Freeze, no change in design, specification, quantity, material, finish, layout, or scope shall be implemented except through a signed Sub Order / Additional Order. Any post-freeze change may affect procurement, production, price, and timeline. If materials have already been ordered, fabricated, or committed, such changes may also trigger non-refundable cost consequences. Unless otherwise agreed in writing, all Sub Orders / Additional Orders shall be payable 100% in advance.
  • Drawing Release Control: One final approved set of 3D design views and one final approved set of 2D drawings shall be provided in soft copy and one printed copy set only after Design Freeze and closure of Milestone 2 / applicable procurement milestone payment. Detailed working drawings, dimensioned drawings, GFC drawings, shop drawings, and execution-ready design documents shall be released only after cumulative 70% payment is received, unless otherwise agreed in writing in the signed contract documents. Prior design discussions, draft submissions, or concept approvals do not by themselves obligate Simplify Home Interiors to release execution-ready drawings.
  • Production Measurement: Production measurement shall be conducted only after finalization of 3D design, design drawings, and all major applicable selections required for execution, including but not limited to slab / countertop material, finishes and colours, sliding / profile design, wall trims / panel selections, appliances, cushion fabric, lights, wallpaper if applicable, handles, knobs, and such other relevant selections as may apply to the approved scope.
  • Dimensional, Finish, and Visual Variation: Showroom samples, catalogues, photographs, render outputs, digital colour displays, and material references are indicative only. Minor variation in colour, grain, texture, finish, joint visibility, lighting effect, and site-adjusted alignment is normal. Actual site conditions, viewing angle, lighting, substrate quality, manufacturing batch variation, and tolerance rules may affect the final look. Such variation shall not be treated as a defect if within standard industry tolerance.
  • Physical Sample Approval, Laminate Sheets & Edge Banding: The Client must review and approve physical samples wherever available before final selection. For woodgrain, stone, patterned, textured, metallic, acrylic, veneer, or special finishes, the Client should review the full sheet / larger sample where feasible before procurement, as small samples, catalogues, photographs, 3D renders, and screen displays may not represent the final installed look. Edge banding, laminate batch, grain direction, sheet pattern, shade, gloss, and texture may vary within industry tolerance. Exact edge banding customization is not guaranteed; the closest suitable matching edge banding / finish detail from approved brands or equivalent options may be used based on availability and technical suitability.
  • Design Ownership and Use Rights: All concepts, designs, drawings, BOQs, details, visualizations, and specifications created by Simplify Home Interiors remain the intellectual property of Simplify Home Interiors. The Client receives only a limited right to use the design for execution and use at the specific project site. The Client shall not reproduce, share, reuse, resell, or use the design for another property, contractor, designer, vendor, or third party without Simplify Home Interior’s prior written consent.
  • Marketing / Portfolio and Confidentiality: The Client authorizes Simplify Home Interiors to photograph and video the project before, during, and after completion for portfolio and marketing use. If the Client requires strict confidentiality or no-marketing use, such restriction shall apply only if separately agreed in writing and, where applicable, upon payment of any exclusive design or confidentiality fee.
  • Custom / Partner Scope: If any part of the quotation includes custom / partner-led / vendor-facilitated scope, the feasibility, final design, final pricing, and timeline of that scope may change after site measurement, vendor review, and finishing confirmation. No direct payment or side arrangement with such vendor is permitted without Simplify Home Interior’s written consent.

Your home deserves clarity
before commitment.

Take your time with this proposal. Compare the scope, the specifications, the change process and the responsibilities behind the final number. Ask us anything that is unclear.

Because choosing an interior partner is not only a decision about design or price. It is a decision about who you trust with the place you will eventually call home.
